These Terms of Service ("Terms") govern your use of Jayform, the software service available at jayform.com (the "Service"), provided by Mimosa Solutions LLC ("Mimosa", "we", "us"). By creating an account or using the Service you agree to these Terms on behalf of yourself and the organization you represent ("Customer", "you").
1. The Service
Jayform lets businesses put an AI agent, live chat, chatbots, forms, booking pages, popups, search and campaigns on their websites and messaging channels, and manage the resulting conversations and contacts in one workspace. Features vary by plan and are described on our pricing page.
2. Accounts
- You must provide accurate information and keep your login credentials confidential. You are responsible for all activity in your workspace, including by members you invite.
- You must be at least 16 years old and able to enter a binding contract.
- Notify us at support@jayform.com if you suspect unauthorized access.
3. Trials, plans and payment
- New workspaces start with a free trial (currently 14 days, no card required). When it ends without a subscription, the workspace continues on the Free plan's limits.
- Paid plans are billed in advance, monthly or yearly, through our payment processor (Stripe). Prices exclude VAT and sales taxes, which are added where required.
- You can upgrade, downgrade or cancel from Billing. Changes are prorated; a cancellation takes effect at the end of the paid period. Fees already paid are non-refundable except where the law requires otherwise.
- If a payment fails, we may limit paid features until it is resolved. Your data is kept.
- We may change prices with at least 30 days' notice; changes apply from your next billing period.
4. Your content and your visitors' data
- "Customer Data" means everything you or your visitors submit to the Service: messages, contacts, form submissions, bookings, files, knowledge sources and similar content. You own Customer Data. You grant us the rights needed to host, process and display it to provide the Service.
- For personal data in Customer Data, you are the controller and we are your processor. Our Data Processing Agreement forms part of these Terms.
- You are responsible for having a lawful basis to collect and process your visitors' data, for your own privacy notice and cookie banner, and for the consents you need (for example, for marketing messages).
- We do not use Customer Data to train AI models, and we do not sell it.
5. AI features
- AI answers are generated automatically from the knowledge you provide and may be incomplete or wrong. Review important answers, keep your knowledge current, and do not rely on the AI for legal, medical, financial or other professional advice to your visitors.
- Where the law requires it (for example, the EU AI Act), you must make clear to your visitors that they are interacting with an AI system. The widget can show this.
- Depending on the model you choose, AI requests are processed by Cloudflare or by the AI provider you select (see Subprocessors).
6. Acceptable use
You will not use the Service to:
- send spam or unsolicited messages, or message people without the consent the law requires;
- collect data unlawfully, or crawl websites you are not allowed to crawl;
- publish or transmit illegal, infringing, deceptive, harassing or harmful content, or impersonate others;
- distribute malware, probe or attack the Service or other systems, or circumvent limits or security;
- process special categories of personal data (such as health data) without the safeguards the law requires;
- resell the Service without our written agreement.
We may suspend workspaces that break these rules or put the Service or others at risk. Where reasonable, we will tell you first and give you a chance to fix the problem.
7. Third-party services
The Service connects to services you choose (for example WhatsApp, Instagram, Messenger, Twilio, Google, Microsoft, Stripe, CRMs and e-commerce platforms). Your use of them is governed by their own terms, and you are responsible for the accounts and permissions you connect. We are not responsible for third-party services.
8. Availability and changes
We work to keep the Service available and secure but do not guarantee uninterrupted operation. We may improve or change features; we will not materially reduce the core functionality of a paid plan during your current billing period.
9. Intellectual property
We own the Service, its software, design and documentation. You receive a limited, non-exclusive, non-transferable right to use the Service during your subscription. Feedback you send us may be used without obligation.
10. Confidentiality and security
Each party will protect the other's non-public information with reasonable care. We protect Customer Data with the measures described in our Privacy Policy and Data Processing Agreement.
11. Termination
You can stop using the Service and delete your workspace at any time from Settings. We may terminate for material breach not cured within 15 days of notice, or immediately for serious abuse. After deletion, Customer Data is removed from active systems promptly and from backups within 30 days.
12. Disclaimers
Except as expressly stated in these Terms, the Service is provided "as is" and "as available", without warranties of any kind, to the extent permitted by law.
13. Limitation of liability
To the extent permitted by law, neither party is liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data. Each party's total liability under these Terms is limited to the amounts you paid us in the 12 months before the event giving rise to the claim. These limits do not apply to your payment obligations, to breaches of section 6, or to liability that cannot be limited by law.
14. Indemnity
You will defend and indemnify us against third-party claims arising from Customer Data or from your use of the Service in breach of these Terms or the law.
15. Governing law
These Terms are governed by the laws of the U.S. state in which Mimosa Solutions LLC is organized, without regard to conflict-of-law rules. If you are a consumer, you also keep the protections of the mandatory laws of your country of residence.
16. Changes to these Terms
We may update these Terms. For material changes we will give at least 30 days' notice by email or in the app. Continuing to use the Service after the effective date means you accept the updated Terms.
